Acceptance of Subcontractor Terms

By accepting a booking, attending a collection, commencing a journey, transporting goods or otherwise undertaking work on behalf of Dedicated Same Day Couriers Ltd, the subcontractor confirms that they have read, understood and agree to be bound by these Subcontractor Terms & Conditions.

These Terms apply whether the booking or instruction is provided through Courier Exchange, email, telephone, WhatsApp or any other agreed communication method.

1. Professional Standards

Subcontractors must provide services professionally, safely and reliably and must act in a way that protects the reputation of Dedicated Same Day Couriers Ltd and its customers.

  • Drivers must be polite, presentable and professional when attending collection and delivery sites.
  • Where PPE is required by a customer or site, the subcontractor is responsible for ensuring that the driver has and wears the appropriate PPE.

2. Legal and Regulatory Compliance

The subcontractor is responsible for ensuring that they, their drivers and their vehicles comply with all applicable UK transport, road traffic, operator licensing, drivers' hours, working time, vehicle safety and other relevant legal requirements.

Vehicles must hold all necessary licences, MOTs, insurance, road tax and permits applicable to the work being undertaken.

The subcontractor must immediately notify Dedicated Same Day Couriers Ltd of anything that may prevent a booking from being completed safely or lawfully.

3. Insurance

The subcontractor must maintain all insurance appropriate to the services they provide, including where applicable:

  • Motor insurance covering carriage of goods for hire and reward
  • Goods in Transit insurance
  • Public Liability insurance
  • Employer's Liability insurance where legally required

Evidence of insurance must be provided upon request.

Any expiry, cancellation, restriction or material change affecting relevant insurance must be reported immediately.

4. Vehicle Suitability

The subcontractor must ensure that the vehicle supplied is suitable for the dimensions, weight and nature of the goods described in the booking.

Where specific equipment is required, including tail lifts, pump trucks, straps, blankets, Moffett equipment or other loading equipment, the subcontractor must ensure that the agreed equipment is available and suitable.

Any concerns regarding vehicle suitability must be raised before accepting or attending the booking.

5. Collection and Delivery Requirements

Subcontractors must attend collection and delivery points at the agreed times and follow the instructions provided for the booking.

Any delay, access problem, loading issue, damage, refusal, discrepancy or other problem that may affect completion of the booking must be reported to Dedicated Same Day Couriers Ltd immediately.

The subcontractor must not leave a collection or delivery site due to a problem without first contacting Dedicated Same Day Couriers Ltd and allowing us a reasonable opportunity to resolve the issue with the customer.

6. Goods and Load Security

The driver is responsible for ensuring that goods can be transported safely and legally within the vehicle.

The subcontractor must carry appropriate load-securing equipment and take reasonable steps to protect goods against movement, damage, contamination or adverse weather.

Where a driver considers a load unsafe or unlawful to transport, they must notify Dedicated Same Day Couriers Ltd immediately and provide photographs or other reasonable evidence where possible.

7. Proof of Collection and Delivery

The subcontractor must obtain and provide proof of collection and proof of delivery where requested.

This may include:

  • Recipient name
  • Signature
  • Collection and delivery times

  • Delivery notes
  • Any other supporting documentation requested for the booking

POD documentation must be returned promptly following completion.

8. Tracking and Communication

Drivers must remain reasonably contactable throughout the booking.

Where tracking is requested or agreed, the subcontractor must provide suitable tracking or journey updates.

Any anticipated delay must be communicated as soon as it becomes known.

9. Customer Contact and Non-Solicitation

Subcontractors undertake work on behalf of Dedicated Same Day Couriers Ltd and must not use any booking as an opportunity to solicit, approach or directly offer transport services to our customers.

Customer names, contact details, rates, routes, booking information and commercial information obtained through work allocated by Dedicated Same Day Couriers Ltd must remain confidential and must not be used to obtain direct business from our customers.

10. Confidentiality

All customer information, pricing, booking details, addresses, contact information and other commercially sensitive information supplied by Dedicated Same Day Couriers Ltd must be treated as confidential.

Such information must only be used for completing the relevant transport service and must not be disclosed or used for any unrelated commercial purpose.

11. Agreed Rates and Additional Charges

The rate offered and accepted at the time of booking will normally represent the full agreed charge for completing the work described.

Any additional charge must be approved by Dedicated Same Day Couriers Ltd before it is incurred.

The subcontractor must not unilaterally add charges for:

  • Waiting time
  • Additional mileage
  • Handball
  • Cancellation
  • Tolls
  • Parking
  • Additional collections or deliveries
  • Any other extra service

...unless the charge has first been communicated to and expressly approved by Dedicated Same Day Couriers Ltd.

Where waiting time may become applicable, the subcontractor must notify Dedicated Same Day Couriers Ltd while the waiting is taking place.

Waiting-time charges will only be payable where they have been communicated and authorised.

13. Cancellations and Failed Collections

Where a booking is cancelled, aborted or cannot be completed, any cancellation or failed-job payment must be agreed with Dedicated Same Day Couriers Ltd.

Attendance at a collection point does not automatically entitle the subcontractor to the full agreed delivery charge where the transportation service has not been completed.

Any payment due will depend on the circumstances and must be agreed between the parties.

14. Damage, Loss and Incidents

Any loss, damage, accident, collision, theft or other incident involving the goods, vehicle, customer premises or another person must be reported to Dedicated Same Day Couriers Ltd immediately.

The subcontractor must cooperate with any investigation and provide photographs, statements, insurance details or other reasonable evidence where requested.

No admission of liability may be made on behalf of Dedicated Same Day Couriers Ltd without prior authorisation.

15. Fines, Penalties, Tolls and Road Charges

The subcontractor is responsible for all fines, penalties, parking charges, congestion charges, clean air zone charges, tolls and other road-user charges incurred by their vehicle or driver unless a particular charge has been expressly agreed as reimbursable as part of the booking.

16. Further Subcontracting

A booking must not be passed to another carrier, transport company or driver without prior approval from Dedicated Same Day Couriers Ltd.

Where permission is granted, the original subcontractor remains responsible for ensuring that any further subcontractor complies with the requirements of the booking and these Terms.

17. Payment and Invoicing

Subcontractor invoices must contain sufficient information to identify the relevant booking, including our job reference where provided.

Payment terms will be those communicated or agreed with the subcontractor.

Invoices containing incorrect rates, unauthorised charges or insufficient booking information may be returned for correction.

18. Independent Contractor Status

Subcontractors operate as independent businesses and are responsible for their own tax, National Insurance, insurance, vehicles, operating costs, employees, drivers and regulatory obligations.

Nothing within these Terms creates an employment, worker, agency or partnership relationship between Dedicated Same Day Couriers Ltd and the subcontractor or their drivers.

19. RHA and Industry Standards

Dedicated Same Day Couriers Ltd supports recognised professional standards within the UK road haulage industry and is associated with the Road Haulage Association (RHA). Where RHA Conditions of Carriage or other RHA contractual conditions are expressly incorporated into a booking or agreement, those conditions will apply in accordance with their terms.

Subcontractors are expected to operate to professional standards consistent with recognised UK road transport industry practice and all applicable legal and regulatory requirements.
